TERMS & CONDITIONS
1. Agreement to Terms
These Terms of Use ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you") and Majestic Life International Limited ("MAJESTIC LIFE," "we," "us," "our"). This Agreement governs your access to and use of the website www.majesticlife.com.ng (the "Website") and all related products and services (collectively, the "Services").
2. User Conduct and Responsibilities
a. Business Genealogy Integrity
You must not circumvent other users by recruiting prospects or registered team members who are already part of another user's business network ("genealogy"). Existing users cannot be re-registered into a different genealogy. Violating this policy will result in the automatic suspension of the offending account and the restoration of any improperly moved accounts to their original positions. We reserve the right to take any further action necessary to maintain the integrity of our business structure.
b. Non-Disparagement and Exclusive Marketing
You must not de-market, disparage, or make false claims about MAJESTIC LIFE. You are prohibited from openly marketing or advertising products from other multi-level marketing companies to existing MAJESTIC LIFE users. Any account found in violation may be temporarily or permanently deactivated at our discretion.
c. Threats and Extortion
Threatening or blackmailing any staff or management personnel of MAJESTIC LIFE is strictly prohibited. Violations will lead to the immediate suspension, blockage, or termination of your account(s) and may result in legal action as permitted under the laws of the Federal Republic of Nigeria.
d. Fraudulent Financial Activity
Uploading fake bank tellers to request wallets, vouchers, or for registration/repurchase purposes is prohibited and will result in the automatic blocking of all involved accounts. "Swapping" a teller previously uploaded by another user or uploading the same teller more than once is also forbidden. Such actions may lead to penalties, including cancellation of transactions, suspension, and permanent account blockage.
e. Government Information Requests
Government agencies may request user information from MAJESTIC LIFE. We carefully review all such requests to ensure they comply with applicable laws. We will challenge requests we believe are overly broad or legally deficient. We generally notify users via email before disclosing their information, unless we are legally prohibited from doing so (e.g., under a gag order), in which case we will provide notice once the prohibition is lifted. We may not provide notice in exceptional circumstances, such as emergencies involving threats to life or safety, or if an account has been disabled or hijacked.
3. Ranked Leaders
Leaders who have achieved a rank within MAJESTIC LIFE are prohibited from promoting other product-based network marketing companies. Any ranked leader found in violation of this policy will have their account blocked and all accrued benefits forfeited. MAJESTIC LIFE reserves the right to seek legal damages for harm caused to the brand.
4. Marketing Plan
By opting into one of our marketing plans, you receive the right to sell MAJESTIC LIFE products and recruit others to do the same. Your eligibility for sales level promotions, increased discounts, and bonuses is based on the combined sales volume (measured in...).
5. Pairing Bonus
A User becomes eligible to earn a Pairing Bonus (BB) upon achieving a 40PV Left & Right of the team structure, subject to the rules and permissions set by MAJESTIC LIFE.
6. Placement Bonus
An active user earns a Placement Bonus for each new registration placed directly beneath them in the binary tree by their sponsor. This bonus is calculated as 10% of the cash equivalent of the new user's registration package. A user can earn this bonus a maximum of two times per placement (once for the left leg and once for the right leg).
7. Retail Profit
Distributors may earn a retail profit of 10% to 33.3% on direct sales of products to customers.
8. Sponsorship Bonus
A distributor earns a Sponsorship Bonus equivalent to 20% of the PV value of the entry package for every user they directly recruit, regardless of the recruiter's own package level.
9. Leadership Pool
5% of the company's global monthly or quarterly sales revenue is allocated to a Leadership Pool. This pool is distributed to leaders who have achieved the rank of Marketing Director (MD) or Chief Marketing Officer (CMO).
10. Indirect Sponsor Bonus
This bonus allows a user to earn a sponsorship bonus from affiliates they recruit down to their fourth generation. It is earned on affiliates sponsored within your second, third, and fourth generations at 3%, 2%, and 1% respectively.
11. Upgrade Bonus
A distributor earns an Upgrade Bonus of 10% of the value from all direct referrals who upgrade their packages, irrespective of the distributor's own entry package, while the person upgrading will also earn another 10% of the upgrading PV.
NB: The Company reserves the right to amend or alter the marketing plan at its discretion.
12. Stockist Terms
a) Supply to All Distributors: A Stockist must supply the Company’s products to all MAJESTIC LIFE distributors, not only to members of their own network team.
b) Non-Refundable Payments & Termination: All payments for products are non-refundable. Upon termination of this agreement, the Stockist forfeits all associated rights. The Company will only supply any remaining, pre-committed backlog of products to the Stockist.
c) Independent Status: The Stockist is an independent contractor and not an employee of the Company. The Stockist is not entitled to any employee benefits.
d) Logistics Responsibility: The Stockist is responsible for clearing, unloading, and distributing the Company's products to distributors.
e) Order Fulfillment: The Stockist will dispatch products based on distributor requirements, which must be presented via an electronic or written order confirmed by an authorized Company representative.
f) Handling of Damaged Goods: The Stockist must receive and store any damaged products returned by distributors. The Company will provide written disposal instructions, and the Stockist must maintain proper records of all such receipts and disposals.
g) Exclusivity: The Stockist is prohibited from holding a stockist position with another product-based multi-level marketing company or from marketing such competing products.
h) No Unauthorized Commitments: The Stockist cannot admit any claim or make commitments on the Company’s behalf unless the Company has previously validated and communicated such claims in writing.
i) Product Care and Liability: The Stockist is responsible for safeguarding products against theft, damage, pilferage, and exposure to harmful elements like water or heat. The Stockist is liable for all related losses and has no right to withhold Company products for any outstanding charges. The Stockist bears responsibility for any shortages, losses, or damages to the products.
j) Promotion Expenses: The Stockist is responsible for any expenses related to business or sales promotions not organized by the Company.
k) Commissions: All commissions and sales incentives are paid after the deduction of applicable taxes as required by law.
13. Records and Audit
a) Record Keeping: The Stockist must maintain accurate records of products supplied, distributed, and any backlog. The Company reserves the right to verify these records at any time through its representatives or software.
b) Document Retention: The Stockist must not destroy any stock lists, account books, vouchers, statements, returns, or other physical/electronic records related to product receipt, dispatch, inventory, finances, or business operations.
c) Audit Rights: The Stockist must permit the Company’s authorized representatives and auditors to inspect products, storage facilities, and all related records. The Stockist is responsible for answering and resolving all queries raised during an audit, especially concerning product damage or discrepancies.
14. Incentives, Bonuses, and Awards
Award qualifiers will receive the incentives specified in the Compensation Plan. The Company reserves the sole right to decide whether to monetize awards, subject to conditions it deems appropriate at any given time.
15. Return Policy
a) No Returns for Good Condition: The Company does not accept returns for products received in good condition.
b) Pre-Approval Required: Written approval from the Company's head office is required before any stock can be returned. Returned products will not be accepted for replacement until they are checked and investigated by the Company.
c) Return Details: The Stockist must provide the Company with full details of the stock to be returned, including batch number, manufacturing date, and the relevant invoice number.
d) Delivery Inspection: The Stockist must check and verify the quantity of products upon delivery from the transporter. In case of damage or shortage, the Stockist must obtain a shortage/damage certificate from the transporter. Failure to do so makes the Stockist liable for the loss.
e) Return Costs: Transportation charges for returns are the Stockist's responsibility. The Company has sole discretion regarding the acceptability of any returned stock.
16. Assignment
You may not assign or transfer your rights or obligations under these Terms to any other party.
17. Registration and Account Security
Upon registration, you agree to:
I. Provide true, accurate, current, and complete information about yourself.
II. Maintain and promptly update your registration data to keep it true, accurate, current, and complete.
You will use a confidential password and a Security PIN assigned by MAJESTIC LIFE to access password-protected areas of the Website. You must maintain the confidentiality of all your login identifiers and immediately notify MAJESTIC LIFE of any unauthorized use or security breach. You are fully responsible for all activities that occur under your account. MAJESTIC LIFE is not liable for any misuse of your account.
18. Product and Medical Disclaimer
The information on this website is for general informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay seeking it because of something you have read on this website.

Many physicians affiliated with MAJESTIC LIFE are independent practitioners. MAJESTIC LIFE is not responsible for the care provided by these independent professionals.
19. Changes to Terms
MAJESTIC LIFE reserves the right to update or modify these Terms at any time. We will post the revised Terms on this page and update the "last modified" date. Your continued use of the Services following any changes constitutes your acceptance of the new Terms. We may provide additional notice for material changes, but you are responsible for reviewing these Terms periodically.
20. No Third-Party Rights
A person who is not a party to this Agreement has no right to enforce any of its terms.
21. Indemnification
You agree to indemnify and hold MAJESTIC LIFE harmless on a full indemnity basis against all losses, liabilities, costs, and expenses incurred in connection with any third-party claims arising from: (i) your breach of this Agreement; (ii) your negligence, fraud, or misconduct; (iii) any infringement of third-party intellectual property rights; or (iv) the defaults of your agents, representatives, or personnel.
22. Force Majeure
The Company will not be in breach of these Terms for any delay or failure in performance due to events beyond its reasonable control, including but not limited to natural disasters, strikes, pandemics, wars, government actions, or other unforeseen circumstances. caused by circumstances beyond its reasonable control (a "Force Majeure Event"), including but not limited to strikes, lock-outs, or other industrial action.
23. Suspension for Breach
If you breach these Terms, the Company may suspend your rights. If you fail to remedy the breach within a specified notice period, the Company may take further action, including account termination.
24. User Representations and Warranties
You represent and warrant that you have the financial capability, technical competence, and industry expertise to perform your obligations under these Terms. You further warrant that no circumstances exist that could materially adversely affect your ability to fulfill these obligations.
25. Withdrawals
Withdrawal Window: Users can access earnings and make withdrawals from Monday to Tuesday each week.
Fees: A 7.5% deduction is applied to weekly earnings to cover VAT, service charges, and other applicable fees.
Suspension: Withdrawal privileges may be suspended if you violate these Terms of Use.
26. Account Eligibility and Security
You must be at least 18 years old to use this Website. By registering an account, you are responsible for maintaining its security and for all activities that occur under it. Providing false contact information may result in termination of your account. You must notify us immediately of any unauthorized use. We may suspend, disable, or delete your account if we determine you have violated these Terms or damaged our reputation. If your account is deleted for these reasons, you may not re-register, and we may block your email and IP address.
27. Prohibited Activities
The Management's decision to terminate an account or adjust incentives for activities that violate Company Policies or the Code of Professional Conduct is final. Intentional disregard for these rules may result in severe penalties, including termination and legal action for damages.
Prohibited activities include, but are not limited to:
Fraudulent Sponsoring: You are prohibited from sponsoring individuals without a properly executed MAJESTIC LIFE Agreement. Sponsoring non-existent individuals to qualify for commissions will lead to account termination.
Unauthorized Outlet Sales: You may not sell products outside of their original packaging. Breach of this policy may lead to criminal prosecution.
Bonus Buying: You are prohibited from purchasing more products than needed for immediate sales. You may not purchase products, or encourage others to do so, solely to qualify for bonuses. Purchases must reflect bona fide consumer demand. Violation will lead to account forfeiture.
Unauthorized Promotional Materials: You must obtain the Company's prior written approval to use, produce, or sell any promotional materials not provided by the Company. Promoting or selling unapproved sales aids, training materials, websites, or apps is prohibited and may lead to prosecution.
Cross-Sponsoring: You are prohibited from sponsoring or encouraging any current MAJESTIC LIFE user (or anyone who has been a user/customer in the last six months) to join another direct sales company.
Disparagement:You must not malign the Company's reputation, products, services, or Marketing Plan to other users or third parties. All grievances must be directed in writing to MAJESTIC LIFE’s corporate offices.
Publication of Sensitive Information: You are prohibited from publicly disclosing any sensitive Company information obtained through any channel.
Dissemination of False Information:You are prohibited from publishing, sharing, or
disseminating false or misleading information about the Company or its products. This will result in account termination and may lead to prosecution.
28. Proxy Purchasing
You may not purchase products under any name other than your own.
29. Product Pricing
You are prohibited from advertising or selling products at any price below the Company's suggested retail price (SRP). Violators may be prosecuted.
30. Improper Conduct
MAJESTIC LIFE may terminate your account without notice if you engage in conduct that, in its reasonable judgment, is contrary to the Company's spirit, is unbecoming of a representative, harms the Company's interests, or brings the Company into disrepute. Upon termination, you are forbidden from making derogatory or disparaging statements about MAJESTIC LIFE.
31. Online Sales
You may create a website to sell products, provided it aligns with the MAJESTIC LIFE brand. However, you are prohibited from registering new users or generating forms outside of the official Company website.
32. Joint Accounts and Transfer on Death
(a) Upon a user's death, their earnings and bonuses will automatically transfer to their registered next of kin, regardless of the user's Will. Users who wish a different arrangement must contact the Company to determine if it can be accommodated.
(b) Accounts registered as "single" with one signature will be treated as individual accounts.
(c) To transfer benefits on death, a single user must have a valid Will or use a Grantor’s Trust.
33. Transfers Due to Divorce
(a) During pending divorce proceedings, the Company will continue payments to the registered user.
(b) A legally enforceable property settlement agreement may grant the account to one spouse. Only one adult individual is entitled to retain the account and its Success-Line.
34. Refund and Buy-Back Policy
The Company will replace defective products (e.g., expired, unsealed) delivered to a stockist or user. You must promptly inform the Company of any defects; failure to do so waives this right.
The "Buy-Back Rule" obligates the Company to provide guidelines so you purchase only what is needed for immediate sales. Products certified as sold, consumed, or utilized are not eligible for repurchase.
35. Account Protection Advice
Phishing: Fraudulent emails may try to steal your login details. MAJESTIC LIFE will never ask for your password via email or phone, nor threaten to close your account if you do not download something or provide your details.
Spoofing:Criminals may create fake copies of our website. Always check the web address carefully.
Identity Theft: To avoid identity theft, never give out sensitive personal information (bank details, date of birth, passport copies) via email. Be wary of emails with spelling mistakes. Never provide your login details in response to an email. If you suspect identity theft, contact the police immediately.
36. Account Security
You are responsible for keeping your password secure. We recommend you:
- Use a unique password that includes letters and numbers.
- Never share your password with anyone.
- Change your password at least every three months.
- Memorize your password instead of writing it down.
- Use a different password for each website.
37. Use of Cookies

Interfere with or disrupt the Service or networks connected to the Service. Circumvent other users' prospects or re-register existing users into a different genealogy. As a Director or above, market or promote other MLM companies to users. Upload fake bank tellers to request vouchers or for registration/repurchase. Blackmail the management or other users. Violations will result in account blocking, deletion, and potential legal action.
43. Security
We take reasonable precautions to provide a secure shopping experience. When you place orders, your transactions are encrypted using Secure Sockets Layer (SSL) technology to protect your information.
Hacked Accounts & Password Recovery: The Company is not liable for lost accounts, revenue, security breaches, or hacked accounts resulting from a user's failure to protect their login credentials. While we may assist with password recovery, we are not obligated to do so.
44. Consumer Protection Policy
Consumers of MAJESTIC LIFE health products agree to follow the usage instructions on the product label and to seek advice from their healthcare provider before use. MAJESTIC LIFE and its subsidiaries are not responsible for any harm resulting from a consumer's failure to adhere to these instructions.
45. Privacy Policy

YOU AGREE THAT THE MAXIMUM LIABILITY OF THE COMPANY AND ITS ASSOCIATES FOR ANY CLAIM ARISING FROM THIS RELATIONSHIP SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID FOR RESALABLE PRODUCTS.
53. Indemnification
You agree to indemnify and hold MAJESTIC LIFE, its directors, officers, employees, and agents harmless from any liabilities, losses, damages, or costs (including reasonable attorneys' fees) arising from third-party claims related to your Content, your use of the Website, or any willful misconduct on your part.
54. & 59. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remainder of the Terms shall remain in full force and effect as if the invalid provision never existed.
55. Dispute Resolution
Any dispute arising from these Terms or your use of the website that cannot be resolved through good-faith negotiations shall be referred to mediation or arbitration. The formation, interpretation, and performance of these Terms are governed by the laws of Nigeria. The exclusive jurisdiction for any legal actions shall be the state and federal courts located in Nigeria, and you submit to the personal jurisdiction of these courts. You waive any right to a jury trial. The UN Convention on Contracts for the International Sale of Goods does not apply.
56. Governing Law
All matters relating to the use or interpretation of these Terms shall be governed by the laws of Nigeria.
57. Changes and Amendments
We reserve the right to modify this Agreement at any time. Changes are effective upon posting on the Website. Your continued use of the Website after changes are posted constitutes your consent to the changes. You must review this Agreement regularly to stay informed of updates.
58. Acceptance of These Terms
By using the Website or its Services, you acknowledge that you have read and agree to be bound by these Terms of Use. If you do not agree, you are not authorized to use the Website or Services.
60. Waiver
Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or any of our rights.
61. Termination
MAJESTIC LIFE may, in its sole discretion, terminate your password, account, or use of the service for any reason, including inactivity or violation of these Terms. A user may terminate their account by submitting a signed written request. The termination is effective upon the Company's acceptance. The terminating user forfeits their sales level, Success-Line organization, and all associated rights. A terminated user must repay any benefits, prizes, or bonuses received from the date of the activities causing termination. The Company reserves the right to take legal action for breaches of these Terms.
62. Re-entry
A terminated user may reapply after six (6) months, subject to Company approval. Upon re-entry, the user's previous Success-Line organization will not be restored.
63. Forfeiture
A user will forfeit their account for any breach of these Terms. A forfeited account cannot be restored, and the user is prohibited from re-registering for six (6) months.
64. Suspension
(a) Suspension is a temporary status that prohibits a user from placing orders, receiving payments, and sponsoring others.
(b) Profits and bonuses of a suspended user will be held until reinstatement or termination. If reinstated, payments will be released; if terminated, they will be forfeited.
65. Submissions
Any material, information, or ideas you transmit or post on this Site will be treated as non-confidential and will be handled in accordance with our Privacy Policy.
66. Code of Conduct
Users are expected to:
- Maintain customer loyalty and dedication to the brand.
- Act with professionalism and integrity.
- Avoid excessive product purchasing and encourage their team to do the same.
- Work as a team and participate in Company events.
- Be resilient and good ambassadors for the brand, without maligning it or promoting competitors.
- Refrain from inducing others to terminate their business.
- Comply with all Company Policies and the Code of Professional Conduct.
- Refrain from sponsoring another user's prospect.
- Use Company facilities appropriately and not damage the Company's reputation.
68. Product Pricing
Users must not advertise or sell products below the Company's Suggested Retail Price (SRP).
69. Additional Provisions
69.1 Updating Our Terms: We may update these Terms to reflect improvements to our services, to promote a safe experience, or to comply with law. Continued use of our Products after changes are posted constitutes your acceptance of the new Terms.
69.2 Account Suspension or Termination: We may suspend or permanently disable your account if you seriously or repeatedly breach our Terms or Policies. We may also disable inactive or unconfirmed accounts. Where possible, we will notify you of such action and explain any review options.
69.3 What Happens After Account Deletion: Upon account deletion, you forfeit all wallets and your Success-Line organization, which may be reassigned at the Company's discretion.
70. Limits on Liability

| 7. | Bonus Buying | Forfeiture and deletion of account. |
| 8. | False or Misleading Information | Termination of account and criminal prosecution. |
